Access to Website

  1. This User Agreement governs your access to and use of the website and services provided by 10K Used Gear Ltd, a company registered in England and Wales at 49-50 Maple Leaf, Manston Business Park, Ramsgate, Kent, CT12 5GD, United Kingdom, and its group companies, including but not limited to 10K Limited (collectively, “Group Companies”). Group Companies may change from time to time at our discretion. In this Agreement, “you” or “your” refers to users of the website, “we,” “us,” or “our” refers to 10K Used Gear Ltd and its Group Companies, and “vendor” or “buyer” refers to any individual or entity using our website to sell or purchase goods, respectively.
  2. We reserve the right to amend these Terms and Conditions, including products, services, and prices listed on the website, at our sole discretion and without prior notice. Any such changes will be effective upon posting on the website. We also reserve the right to pursue all legal and equitable remedies for any violation of these Terms. Please review this Agreement carefully before registering, placing an order, or posting information on the website.

User Account Responsibilities

  1. You are responsible for maintaining the confidentiality of your account credentials, including usernames and passwords, and for all activities conducted under your account. You agree to provide accurate, current, and complete information during registration and to update such information promptly to keep it accurate. You must notify us immediately of any unauthorized use of your account or other security breaches. We are not liable for any loss or damage arising from your failure to comply with these obligations, except where such liability cannot be excluded under applicable law. You agree to implement appropriate security measures to prevent unauthorized access to your account.

Prohibited Activities

  1. You agree not to engage in any of the following activities on our website:
  2. Using the website for any unlawful purpose or in violation of any applicable laws.
  3. Posting false, misleading, or fraudulent information in listings or transactions.
  4. Attempting to interfere with the website’s functionality, including through hacking, spreading viruses, or launching denial-of-service attacks.
  5. Using automated tools (e.g., bots, scrapers) to access or collect data without our prior written consent.
  6. Impersonating any person or entity or misrepresenting your affiliation with any party. We reserve the right to suspend or terminate your access to the website for engaging in prohibited activities, without notice or liability.

Copyright

  1. All content on this website, including text, images, and graphics, is protected by copyright. Except as expressly permitted, no part of this website may be reproduced, distributed, or transmitted in any form or by any means without our prior written consent.

Intellectual Property Use

  1. You may not use our trademarks, logos, or other proprietary marks without our prior written consent. Any content you upload to the website (e.g., in listings) must not infringe on the intellectual property rights of third parties. You grant us a non-exclusive, royalty-free, worldwide license to use, display, and reproduce such content solely for the purpose of operating the website and fulfilling transactions.

Listing

  1. When listing an item, the vendor warrants that they are the lawful owner of the item and are responsible for the accuracy of the listing. The vendor must promptly notify us in writing of any changes to the listed item, including unavailability.
  2. Listings on our website are non-exclusive. However, vendors must not offer listed items to other companies in the same industry as 10K Used Gear Ltd or its Group Companies at a price lower than our net buying price during the listing period.
  3. Listing items on our website is free of charge. We will provide vendors with three days’ written notice of any changes to this policy, and such changes will take effect upon receipt of the notice.
  4. Vendors warrant that all item descriptions (including specifications, condition, accessories, serial numbers, hours of use, and any known defects) are accurate and not misleading. If an item is subsequently found to be not as described, the obligations in the Returns section titled “Misdescribed Goods — Vendor Transport & Restocking” will apply.

Sales

  1. Vendors must provide a price list for items to be sold on the website. Price changes must be submitted via the vendor’s administrative page at www.10Kused.com and will be reflected on the website within 72 hours of our approval.
  2. Vendors agree not to contact prospective buyers directly to sell listed items outside of our platform, or to circumvent our platform in any way. Breaching this clause entitles us to the commission we would have earned had the sale been completed through our platform, plus liquidated damages of £1,000 per breach, which the parties agree represents a genuine pre-estimate of loss.

Stock Purchases

  1. We, or any of our Group Companies (including but not limited to 10K Limited), may, at our sole discretion, purchase equipment directly from vendors to hold in our stock for resale. In such cases, the vendor warrants that they are the lawful owner of the equipment and that the equipment is free from defects in material and workmanship at the time of purchase.
  2. Provided the equipment matches the vendor’s description and is in satisfactory condition as determined by our reasonable inspection, we will pay all valid and undisputed invoices within 30 days unless otherwise agreed in writing. The vendor must provide accurate descriptions and disclose any known defects or issues with the equipment prior to the purchase.
  3. The vendor agrees to provide a 21-day warranty on the equipment, commencing from the date we or our Group Companies resell the equipment to one of our customers, whenever that time in the future may be. This warranty covers defects in material and workmanship, provided the equipment is used in accordance with its specifications. If a customer reports a defect within this 21-day period, the vendor must, at our discretion, either refund the purchase price paid by us to the vendor, refund the cost of rectifying the defect or provide a replacement item of equivalent value and condition, within 5 business days of our notification. The vendor is responsible for any costs associated with fulfilling this warranty, including shipping.
  4. We reserve the right to inspect all equipment upon receipt and reject any items that do not meet the agreed description or quality standards. Rejected items will be returned to the vendor at the vendor’s expense.
  5. Where rejection is due to the vendor’s misdescription, the vendor shall bear all reasonable incoming and return transport costs, and we may apply the re-stocking fee (up to 10%) under Returns, Section B.

Buy It Now

  1. Our “Buy It Now” feature allows buyers to purchase stock items directly and for us to arrange shipping without submitting an enquiry or contacting our staff. The following terms apply to all “Buy It Now” transactions:
  2. Final Delivery Information: Delivery details provided at the time of purchase, including the shipping address, are final. We may, at our sole discretion, attempt to amend the delivery address upon written request, but we do not guarantee such changes can be accommodated. Buyers are responsible for ensuring the accuracy of delivery information at checkout.
  3. Payment and Stripe Fees: All “Buy It Now” purchases must be paid in full at checkout, with payment processed via Stripe or other accepted methods as specified at www.10Kused.com. Payments made via Stripe incur a 3.3% transaction fee, which will be clearly displayed before purchase confirmation. Orders are processed only after payment has cleared.
  4. Purchase Options: Buyers may choose one of the following options at checkout:
  5. Collection/Self-Arranged Delivery: Buyers arrange collection or delivery of the items themselves, taking responsibility for all shipping, insurance, duties, and related costs. Collection must occur within 5 business days of purchase at our designated location, as specified in the order confirmation, or we reserve the right to charge storage at £5 per pallet per week.
  6. Delivery and Duties by 10K: We arrange delivery, including shipping, insurance, and applicable duties, with costs added to the final purchase price and disclosed at checkout. Buyers are responsible for ensuring compliance with all import and export regulations for their destination country. If we are shipping under this option to within the EU, you will need to include a valid EORI number. If you do not have one or you provide an inaccurate one, the shipping of your delivery may be delayed by us, the freight forwarder, or withheld at customs.
  7. Buyer’s Responsibility for Product Choice: Buyers are solely responsible for selecting the correct product, including verifying specifications and suitability for their needs. Product descriptions and images are provided for guidance, but buyers should submit an enquiry via www.10Kused.com if uncertain about their selection. We are not liable for losses of any kind arising from incorrect product choices.
  8. Stock Availability: Items available via “Buy It Now” are subject to stock availability at the time of purchase. Due to simultaneous transactions, we cannot guarantee availability until payment is processed and the order is confirmed. If an item is unavailable after payment, we will notify the buyer and issue a refund per the cancellation clause below.
  9. No Modifications Post-Purchase: Once a “Buy It Now” purchase is finalized, no changes to product specifications, quantities, or other order details are permitted, except as required by law.
  10. Cancellations by Us: We reserve the right to cancel a “Buy It Now” order at our sole discretion for reasons including, but not limited to:
  11. The item is out of stock or unavailable.
  12. We are unable to deliver to the specified destination due to logistical, legal, or regulatory restrictions.
  13. Suspected fraud or unauthorized payment.
  14. Errors in product pricing or description.
  15. In such cases highlighted in clause 22, we will notify the buyer promptly and issue a full refund within 5 business days. We are not liable for any losses or damages arising from such cancellations.
  16. Export Compliance: Buyers are responsible for ensuring that their purchase and delivery comply with all applicable export, import, and customs regulations. We are not liable for delays, seizures, or additional costs arising from non-compliance.
  17. All “Buy It Now” transactions are subject to the Payment, Shipping, Returns, and Warranties sections of these Terms, where applicable.

Auctions

  1. Sale Basis: All auction lots are “as is, where is”. No assurances are given beyond the written lot description on the auction listing page.  Auction items are typically used, surplus, or retired equipment and may not be in original manufactured condition. Unless expressly stated, no representation is made as to working order, completeness, or suitability for any particular purpose.
  2. Buyers must not assume that auction items are fully operational, refurbished, or fit for use without inspection. Participation in an auction confirms that the buyer has relied on their own assessment or inspection of the item.
  3. Certain auction items may not comply with current safety standards or regulatory requirements. Buyers are solely responsible for ensuring compliance with all applicable laws, regulations, and standards prior to use, resale, or installation.
  4. No 21-Day Warranty: The 21-day warranty that applies to non-auction sales does not apply to auction lots. For the avoidance of doubt, auction items are sold without warranty, except where liability cannot be excluded by law or where an item is materially not as described.
  5. Inspection Prior to Bidding: Prospective buyers are encouraged to organise a viewing/inspection in advance of bidding. We can facilitate viewings by appointment; please contact us before the auction closes.
  6. Misdescription Remedy: If, following delivery, an auction lot is determined by us (acting reasonably) to be not as described, the buyer may return the lot under Returns, Section B (Misdescribed Goods — Vendor Transport & Restocking).
  7. VAT: Unless otherwise stated, auction prices and bids are exclusive of VAT. VAT, where applicable, will be added to the invoice at the prevailing rate.
  8. Payment: Successful bidders must complete payment within 3 days of invoice issue unless otherwise agreed in writing. Title to auction items passes only upon receipt of cleared funds.
  9. Buyers are responsible for arranging and completing collection of auction items within the time frame specified in the auction listing. Unless expressly agreed otherwise in writing, all auction lots are sold and made available on a collection basis from the stated location, on an ex works / ex warehouse basis. Risk associated with collection, removal, loading, packing, palletising, handling, and transport rests entirely with the buyer from the time the lot is made available for collection. Where a buyer requests that we package, palletise, wrap, crate, strap, label, move, load, or otherwise prepare any lot for collection or shipment, all associated labour, materials, fees, and third-party costs shall be payable by the buyer. Any assistance provided by us is at the buyer’s cost and risk and shall not alter the collection or ex works basis of the sale. Items not collected within the specified timeframe may, at our discretion, be subject to storage charges, relocation, resale, or disposal without liability.
  10. We may, at any time and in our sole discretion, withdraw any listing or lot, amend any description, split or combine lots, or change any auction opening or closing time, date, or duration, without liability.  We may, at our sole discretion, set, amend, remove, or apply a reserve price to any lot at any time prior to the close of bidding. The existence and amount of any reserve price are confidential unless expressly stated. We are not obliged to accept the highest bid and may withdraw a lot if the reserve price is not met.
  11. Finality: Subject to the misdescription remedy above and any non-excludable legal rights, all auction sales are final.

Payment

  1. All sales are prepaid, meaning buyers must pay in full before goods are dispatched. The preferred payment method is bank transfer. Alternative prepayment methods may be available; contact us at +44 20 8308 9566 for details. We reserve the right to charge a £15 administration fee for refunds. If paid by credit or debit card, we reserve the right to withhold the credit or debit card fee from any refund. Using an unauthorized credit or debit card is a criminal offense.
  2. We will make reasonable efforts to reserve stock or listings for a buyer upon issuing an invoice, subject to inventory availability and vendor compliance. Typically, we aim to reserve items for 2 business days from the date of the invoice, but we make no warranty or representation that this reservation will always be possible. Sales are not finalised until we receive and process full payment. If payment is not received within 2 business days, we cannot guarantee the availability of the items. In the event a buyer pays for items that the vendor has sold to another party, we will issue a full refund to the buyer within 5 business days, in accordance with the refund process outlined in the Returns section, and the vendor may be liable for any additional costs or losses incurred by us due to their failure to honour the reservation. We are not liable for any losses arising from the unavailability of items due to delayed payment or vendor actions.
  3. Where credit is granted to a buyer, title to the goods shall remain with Us until the invoice is paid in full. Until such payment is received, the buyer shall hold the goods as bailee for 10K Used Gear Ltd and shall not sell, transfer, or encumber the goods without our prior written consent. We reserve the right to reclaim the goods in the event of non-payment and to enter the buyer’s premises to recover them, if necessary.
  4. We will remit the agreed net sale price to the vendor within 30 days of sale finalization, which occurs once the buyer confirms receipt and satisfaction with the goods, or after 48 hours of delivery if no defects are reported. Buyers must notify us of any defects within 48 hours of receipt.

Price / Currency

  1. Prices are quoted in GBP, EUR, or USD. A currency converter is provided for convenience, but all payments must be made in the currency specified on the Proforma Invoice/Quotation. We may amend prices at our discretion without notice and reserve the right to prohibit pricing structures that violate our guidelines or those of manufacturers.

Value Added Tax

  1. All UK purchases are subject to VAT at the prevailing rate, unless exempt under applicable law.

Cheques and Credit Cards

  1. Cheques are not accepted. Buyers agree not to dispute credit card charges with their card issuer, except as permitted under these Terms. Remedies for defective goods are limited to those outlined herein. We reserve the right to charge a £15 fee for refunds. Credit card fraud is a criminal offense.

Expenses of Vendor

  1. Vendors are solely responsible for any expenses or costs incurred by them in connection with transactions on our platform, including those related to stock purchases.

Shipping

  1. Unless otherwise agreed, buyers are responsible for all shipping, insurance, duty, and freight handling charges, which are not included in the listed purchase price. We will provide shipping cost estimates and add these to the final invoice. Insurance is mandatory for all shipments unless the buyer obtains our express written consent to opt out and accepts all risk of loss or damage during transit. Delivery costs are borne by the buyer unless otherwise agreed with the vendor. However, where goods are determined by us (acting reasonably) to be not as described, the vendor is responsible for all reasonable transport costs for both the original delivery and the return shipment, as set out in the Returns section.
  2. Delivery Timescales and Load Type: Delivery timescales are estimates only and are not guaranteed. Unless we have expressly agreed a dedicated or direct load with you in writing before payment, goods are moved on a shared or consolidated basis and transit times may vary. If you require goods by a particular date you must notify us in writing before payment; we will then use reasonable endeavours to meet that date, but this may affect the price and the freight quotes we obtain, and any revised price must be agreed before we proceed. A required-by date notified after payment cannot be guaranteed.
  3. We are not liable for damage or loss during shipping. Buyers must notify the delivery driver of any damage upon receipt and file a claim with the shipping company. If insurance was provided by us, buyers must submit a damage report within 48 hours of receipt. We do not accept returns for goods damaged in transit and are not responsible for shipping delays or product unavailability.
  4. For stock purchases, vendors are responsible for shipping costs to deliver equipment to our or our Group Companies’ designated location, unless otherwise agreed. We will cover shipping costs for returning rejected items only if the rejection is due to our error. Where rejection is due to the vendor’s misdescription, the vendor will bear the incoming and return shipping in full.

Changes in Policy

  1. We may modify prices, discounts, product specifications, terms of sale, or policies at our discretion by providing reasonable notice on our website or via email to registered users. Product availability is not guaranteed and is subject to a first-come, first-served basis.
  2. Platform Availability and Maintenance

  3. We strive to ensure the website is available at all times but do not guarantee uninterrupted access. We may suspend or restrict access to the website for maintenance, upgrades, or other reasons without notice. We are not liable for any loss or damage arising from such interruptions.

Returns

A. Standard Returns (Non-Auction Sales)

  1. Buyers benefit from our 21-day warranty policy unless otherwise clearly stated at the time of sale. Buyers must notify us in writing within 21 days of receipt if they wish to claim on this warranty for an item. If 10k, acted in its sole discretion, elect to fulfil this warranty and seek the return of the product, the product must be returned in substantially the same condition in which it was received, packaged securely, and shipped to the address we provide within 14 days of return approval. Buyers are responsible for return shipping and risk of loss unless the item is found to be misdescribed (see Section B below).

B. Misdescribed Goods — Vendor Transport & Restocking

  1. Where we determine (acting reasonably) that goods are not as described:
  1. Transport Costs (both ways): The vendor must pay or reimburse all reasonable transport costs for the original delivery to the buyer and the return shipment to the location we nominate.
  2. Re-stocking Fee: We may charge the vendor a re-stocking fee of up to 10% of the purchase price (net of shipping, duties and taxes), applied at our reasonable discretion.
  3. Condition & Timing: Approved returns must be securely packaged and shipped within 14 days of approval. Title and risk re-transfer upon our receipt and inspection.
  4. Vendor Refund: Vendors must refund 10K Used Gear Ltd within 5 business days of our confirmation that returned goods were misdescribed.

E. Auction Sales

  1. The 21-day warranty does not apply to items purchased via Auctions (see the Auctions section). Auction items are sold “as described only”, and buyers are encouraged to arrange viewings in advance. The only exception is where an auction lot is found to be misdescribed, in which case Section B applies.

Cancellation

  1. Orders are binding upon placement and receipt of funds (including, if granted by us at our discretion) a deposit. Cancellations require our approval and may incur restocking or other fees.

Termination

  1. We may suspend, modify, or discontinue any service or content on the website at any time without notice. We may limit, suspend, or terminate your access to the website for material breach of these terms or other reasonable cause, by providing 14 days’ written notice, except where immediate termination is necessary to prevent damage or protect our legitimate business interests. Upon termination, we may delete any content or information you have posted.

Warranties and Limitation of Liability

  1. Vendors represent and warrant that goods sold, including those purchased for stock, substantially conform to the description provided to Us and are of merchantable quality, subject to their used condition.
  2. Unless otherwise stated, Vendors provide the equipment to Us with a 21-day warranty against defects in material and workmanship, provided they are used as specified.
  3. For stock purchases, the 21-day warranty begins upon resale to a Buyer, as outlined in the Stock Purchases section.
  4. Auction Exclusion: Items sold via Auctions are sold as described only and do not benefit from the 21-day warranty policy, except where the lot is not as described, in which case the remedies in Returns, Section B (Misdescribed Goods — Vendor Transport & Restocking) apply.
  5. Unless otherwise stated, Buyers are provided with a 21-day warranty for Material Defects from the date of receipt. Buyers acknowledge that these are used products and that they may have superficial defects. “Material defects” means significant flaws in the goods’ components or construction that substantially impair their primary function or render them unsafe for their intended use, excluding superficial or cosmetic imperfections, normal wear and tear, and pre-existing conditions disclosed or visible upon reasonable inspection. The warranty does not cover defects resulting from misuse, unauthorized modifications, improper maintenance, accidents, or normal wear and tear. Items sold with either an extended warranty or without a warranty will be clearly marked as such.
  6. To make a warranty claim, buyers must notify us in writing within the 21-day period, providing details of the defect and evidence of purchase. We reserve the right to inspect the goods and, at our sole discretion, to repair, replace, or refund the purchase price (less any applicable fees, shipping costs, and handling charges) if we determine the claim is valid. The choice among repair, replacement, or refund shall be made solely by us. All warranty claims are subject to our approval, and Buyers must return the goods to us at their expense for inspection, unless otherwise agreed.
  7. Items sold with an extended warranty or without a warranty will be clearly marked as such. Buyers expressly acknowledge and accept that used products may have superficial defects, signs of previous use, and wear and tear not covered by any warranty. The buyer’s acceptance of the goods constitutes acknowledgment of their used condition.
  8. To the fullest extent permitted by law, we exclude the terms implied by sections 13 to 15 of the Sale of Goods Act 1979. We are not liable for any damages or losses (including loss of profits, goodwill, or consequential damages) arising from your use of the website, pricing, shipping, delays, errors, or third-party actions. Our total liability for any claim under this Agreement is limited to the cost of the purchased product. This limitation does not apply to liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
  9. Website content is provided “as is” and may contain technical inaccuracies or errors. We expressly disclaim any responsibility or liability for the accuracy, completeness, or currency of information provided on the website. Buyers are responsible for verifying all product information before making a purchase.

Indemnity

  1. You agree to indemnify us and our Group Companies, including but not limited to 10K Limited, against all reasonable losses, costs, and expenses (including reasonable legal fees) arising directly or indirectly from your material breach of this Agreement, willful misuse of the website, or deliberate violation of any law or third-party rights, subject to our duty to mitigate such losses.

Confidentiality

  1. You agree to keep confidential any sensitive business information (e.g., pricing, inventory details, customer data, business methods, or trade secrets) obtained through your use of the website or in connection with this Agreement, and to use such information solely for the purposes of performing your obligations under this Agreement. This obligation continues for 3 years after termination of this Agreement, except for trade secrets which shall remain confidential for as long as they constitute trade secrets under applicable law. Disclosure is permitted only as required by law or with our prior written consent. You must not disclose such information to third parties or use it for purposes unrelated to transactions on our platform.

Anti-Fraud and Compliance

  1. You agree to comply with all applicable anti-money laundering, anti-fraud, and anti-corruption laws, including but not limited to the UK Bribery Act 2010 and Proceeds of Crime Act 2002. We may conduct due diligence, including verifying your identity or business details, to ensure compliance. Any suspected fraudulent activity may result in immediate suspension or termination of your account and reporting to relevant authorities. You shall maintain adequate procedures and records to demonstrate compliance with applicable laws upon our reasonable request.

Dispute Resolution

  1. Any disputes arising between you and us or between buyers and vendors on our platform shall first be addressed through good-faith negotiations. If unresolved within 30 days, disputes may be referred to mediation under the rules of a recognized mediation body in England and Wales. If mediation fails, the matter shall be subject to the exclusive jurisdiction of the courts of England and Wales, as outlined in the Governing Law and Jurisdiction section.

Electronic Communications

  1. By using our website, you consent to receiving communications from us electronically, including notices, agreements, and disclosures. Electronic communications have the same legal effect as written documents. You may withdraw consent by contacting us, but this may limit your ability to use certain features of the website.

Assignment

  1. No party may assign, transfer, charge, subcontract or deal in any other manner with any or all of their rights or obligations under this Agreement without the prior written consent of 10K Used Gear Limited. 10K Used Gear Limited may assign, transfer or deal with its rights and obligations under this Agreement to any member of its Group Companies or to any purchaser of all or substantially all of its business assets.

Authority

  1. Vendors have no authority to incur obligations or execute documents on behalf of us or our Group Companies.

Force Majeure

  1. We are not liable for delays or failures to perform due to events beyond our reasonable control, including but not limited to acts of God, strikes, or governmental actions.

Entire Agreement

  1. This Agreement constitutes the entire agreement between you and us, superseding all prior agreements, whether written or oral.

Third-Party Rights

  1. Pursuant to the Contracts (Rights of Third Parties) Act 1999, no person other than the parties to this Agreement shall have any right to enforce any of its terms, except that Group Companies may enforce rights expressly granted to them under this Agreement.

Notices

  1. Notices must be in writing and delivered to a party’s registered office or principal place of business by hand, first-class post, next-day delivery service, or email.

Compliance with Laws

  1. You must comply with all applicable laws, including export control and international regulations, when using our website.

Governing Law and Jurisdiction

  1. This Agreement is governed by the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Severability

  1. If any provision of this Agreement is deemed invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid or deleted if modification is not possible. This will not affect the validity of the remaining provisions.

Data Protection

  1. As a B2B company, we collect and process personal and company data in accordance with the UK Data Protection Act 2018, the UK GDPR, and applicable data protection laws. We act as a data controller for the purposes of applicable data protection legislation and maintain appropriate technical and organizational measures to protect your data. For more details, please refer to our Privacy Policy at www.10Kused.com/privacy.

Miscellaneous

  1. Section headings and titles in this Agreement are for convenience only and shall not affect the construction or interpretation of any provision. In this Agreement, unless the context otherwise requires, references to the singular include the plural and vice versa.
  2. Our failure to enforce any term does not waive our right to enforce it later.
  3. The following provisions shall survive any termination or expiration of this Agreement: indemnification obligations, disclaimers, limitations of liability, confidentiality obligations, intellectual property rights, and any other provisions which by their nature are intended to survive termination or expiration.
  4. These Terms shall become binding upon the parties when (a) the Customer indicates their acceptance through the Website or via their interactions with our sales team, or (b) when the Customer begins using the Services, whichever occurs earlier.
